Contingent capital for founders who refuse to over-dilute.

Capital built to move with you.

The Facility

Capital that reads your reality.

The Contingent Service-Debt Facility structures funding so obligations flex with performance. Instead of fixed, unforgiving debt, you get terms that acknowledge where you are and reward where you're going.

The 40/35/25 Matrix

Where every dollar goes, before you sign.

QCE allocates capital on a fixed, transparent matrix. No mystery line items. Every facility is structured so you can see exactly how capital converts into capacity.

40%: Sovereign Agentic Infra

Private cloud hypervisors, custom ERP/CRM, autonomous AI agent workflows, dual-ledger accounting rails.

35%: Digital Growth Engines

Omnichannel acquisition, brand positioning, high-converting web platforms, outbound B2B pipelines.

25%: Business Architecture

Sovereign corporate setup, PIPEDA & regulatory clearances, vendor contracts, EIP dashboard integration.

Repayment Waterfalls

Repayment that respects sequencing.

Our repayment structures use tiered waterfalls and performance hurdles, so obligations only accelerate once you clear agreed milestones. You always know which tier you're in and what triggers the next.

Underwriting Criteria

The standard, published.

We publish our underwriting criteria because diligence shouldn't be a black box. Traction thresholds, unit economics, team, and market, here's exactly what we weigh, so you can self-assess before you apply.

The Waterfall

Deterministic order, published in advance.

Revenue flows through a fixed sequence before it reaches equity. Every tier is visible before a founder signs, so the economics of a good quarter are never a surprise and the economics of a bad quarter are survivable.

Operating cost

Paid first. The business must be able to run before anything else is distributed. A facility that starves operations is a facility that kills the business.

Senior debt

Paid second at the contracted rate. No participation clause, no hidden escalator that quietly increases the obligation.

Contingent service

Paid third, against the defined future obligation the facility was written for. The obligation is bounded and known.

Equity residual

Whatever remains. The founder keeps the upside rather than surrendering ownership at the start.

The Fit Test

Honest about where it does not work.

A contingent facility is not right for every venture. If the revenue shape does not support the obligation, the instrument becomes a trap rather than a tool. We say so rather than selling the facility anyway.

Revenue shape

Recurring or contractually repeatable revenue supports the obligation. Lumpy or speculative revenue does not, regardless of the size.

Obligation size

The facility must be small enough that a bad quarter does not trigger default. Sized against the worst quarter, not the best.

Operating margin

The business must already cover its cost base. The facility funds growth, not survival, and is not a substitute for a working model.

Alternative routing

When the fit is wrong we route to equity, revenue-based financing, or a plain introduction. The relationship matters more than the instrument.

THE INSTRUMENT

Contingent service debt, not equity dilution.

A contingent facility lets a venture fund its build against a defined future obligation rather than surrendering ownership today. The waterfall shows exactly who gets paid, in what order, at what threshold.

THE WATERFALL

  • Revenue flows to operating cost, then senior debt, then contingent service, then equity residual.
  • Every tier is visible before you sign, so the economics are never a surprise.
