Terms of Service
The rules of the substrate. Access, obligations, and dispute resolution across the QCE Vision ecosystem, written to be read.

1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you, or the organisation you represent, and QCE Vision ("QCE Vision," "we," "our," "us"), comprising the operating entities QCE Global, QCE Gateway, QCE Technologies, QCE AI, and QCE 360. They govern your access to and use of qcevision.com, the QCE Vision sovereign substrate, the OmniPlace marketplace, the Enterprise Intelligence Platform (EIP), any QaaS offering, and all related services (collectively, the "Services").
By accessing or using the Services, you accept these Terms in full. If you do not accept them, do not use the Services. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
Where a signed master services agreement, order form, or statement of work exists between you and QCE Vision, that instrument prevails over these Terms to the extent of any conflict.
2. Our Services
QCE Vision provides a sovereign, deep-tech substrate for connected enterprises. The Services include, without limitation:
2.1 Sovereign Substrate
Compute, intelligence, distribution, and economics infrastructure delivered as a deployable platform. The Zero Click Nodes, the Quantum Clock synchronisation layer, and the sovereign compute fabric anchored in the Johor-Singapore Special Economic Zone.
2.2 Enterprise Intelligence Platform (EIP)
Unified data, governed models, and auditable pipelines that operate within your jurisdiction, allowing enterprise intelligence to run sovereign rather than rented.
2.3 OmniPlace
A global asset deployment and business lifecycle marketplace, create, grow, promote, and transact a business across jurisdictions, with verification, escrow, and deal rooms built in.
2.4 QaaS (QCE-as-a-Service)
Managed offerings that package the substrate into configurable plans, including Agentic Infrastructure-as-Code and dual-ledger economics that operate across both fiat and Web3 rails.
We may add, modify, or retire features of the Services as the substrate evolves. Where a change materially affects your paid engagement, we will provide notice in accordance with Section 10.
3. Eligibility & Accounts
- You must be at least 18 years old and legally capable of entering into a binding contract.
- You must provide accurate, current, and complete information during registration and keep it updated.
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
- Accounts are issued to a named individual or organisation and are non-transferable without our written consent.
- Where your organisation administers accounts for its personnel, you are responsible for the access controls you configure and for the activity of your users.
- We may suspend or terminate accounts that violate these Terms, present a security risk, or are used unlawfully.
4. Acceptable Use
You agree not to:
- Use the Services in violation of any applicable law, regulation, or third-party right.
- Attempt to gain unauthorised access to any part of the substrate, its networks, or its data, or to bypass authentication or authorisation controls.
- Reverse-engineer, decompile, scrape, or extract source code, models, algorithms, or data from the Services except as expressly permitted by law.
- Introduce malware, conduct denial-of-service attacks, or otherwise interfere with the integrity or performance of the Services.
- Resell, sublicense, or provide the Services to third parties except under a written reseller or partner agreement.
- Upload data you are not lawfully entitled to process, or special-category personal data that we have asked you not to submit.
- Misrepresent your identity, your credentials, or your affiliation with any person or entity.
- Use the Services to develop a competing product by observing the Services' operation, or to train third-party models on our outputs.
We may investigate suspected violations and cooperate with law enforcement where required. Enforcement may include suspension, termination, and referral to the appropriate authorities.
5. Subscriptions, Payments & Fees
5.1 Billing
Fees for the Services are set out in the applicable order form, plan page, or proposal. Unless otherwise stated, subscriptions recur on the billing cycle you selected (monthly, quarterly, or annual) and are charged at the start of each cycle.
5.2 Dual-Ledger Settlement
QCE Vision operates dual-ledger economics, native fiat settlement alongside programmable Web3 settlement. Where you elect Web3 settlement, you are responsible for the security of your wallet, the accuracy of the destination address, and any network fees. On-chain transactions are irreversible once confirmed.
5.3 Renewal & Cancellation
Subscriptions renew automatically unless cancelled before the end of the current period. Cancellation takes effect at the end of the paid period; we do not pro-rate partial periods unless required by law or expressly agreed in writing.
5.4 Price Changes
We may adjust pricing with at least 30 days' written notice. Changes apply to new billing cycles only; your current cycle remains at the agreed rate.
5.5 Refunds
Refund eligibility, process, and timelines are governed by our Refund Policy. Enterprise engagements are governed by the deliverables, timelines, and revision rounds stated in the signed proposal.
5.6 Taxes
Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any sales, use, value-added, withholding, or similar taxes arising from your use of the Services, other than taxes on our net income.
6. Intellectual Property
6.1 Our IP
The Services, including the sovereign substrate, the HAMILTONIAN Engine orchestration layer, the Zero Click Nodes, the Quantum Clock, all software, models, algorithms, documentation, and brand assets, are and remain the intellectual property of QCE Vision and its licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Services during your subscription, solely for your internal business purposes and in accordance with these Terms.
6.2 Your Content
You retain all rights to data, documents, and content you submit to the Services ("Your Content"). You grant us a limited licence to process Your Content solely to deliver the Services. We do not use Your Content to train third-party models, and we do not claim ownership over it.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, royalty-free licence to use them to improve the Services, without obligation to you.
6.4 Trademarks
QCE Vision, QCE Global, QCE Gateway, QCE Technologies, QCE AI, QCE 360, OmniPlace, and the associated logos are trademarks of QCE Vision. You may not use them without prior written permission, except as required to reference the Services truthfully.
7. Confidentiality
Each party may receive confidential information from the other. Each party agrees to hold the other's confidential information in confidence, to use it only to perform under these Terms, and to disclose it only to personnel and advisers with a need to know who are bound by confidentiality obligations at least as protective as these Terms.
Confidential information does not include information that is or becomes public through no fault of the receiving party, was already known to the receiving party without a duty of confidence, or is independently developed without reference to the disclosing party's confidential information. Disclosure required by law is permitted, provided the disclosing party is given prompt notice where lawful.
8. Disclaimers & Limitation of Liability
8.1 Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, QCE Vision disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any figures, projections, or forward-looking statements presented on the platform will be realised.
8.2 Limitation of Liability
To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to these Terms, even if advised of the possibility of such damages. Each party's aggregate liability under these Terms is limited to the greater of (a) the fees paid or payable by you in the 12 months preceding the claim, or (b) USD 100.
8.3 Exclusions
Nothing in this Section limits liability that cannot be limited by law, including liability for fraud, wilful misconduct, death, or personal injury caused by negligence.
9. Governing Law & Dispute Resolution
9.1 Governing Law
These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws rules. Where a matter relates exclusively to intellectual property, artificial-intelligence, or technology licensing arising from our Delaware-incorporated technology subsidiary, the laws of the State of Delaware, USA, govern that specific matter.
9.2 Dispute Resolution
The parties shall first attempt to resolve any dispute through good-faith negotiation. If the dispute is not resolved within 30 days of written notice, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules then in force. The seat of arbitration shall be Singapore. The language of the arbitration shall be English. The tribunal shall consist of one arbitrator unless the amount in dispute exceeds USD 1,000,000, in which case three arbitrators shall be appointed.
9.3 Injunctive Relief
Nothing in this Section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property, confidential information, or security interests.
10. Term & Termination
These Terms remain in effect for as long as you access or use the Services. Either party may terminate a subscription as described in Section 5.3.
We may suspend or terminate your access immediately, with written notice, if:
- You materially breach these Terms and fail to remedy the breach within 15 days of notice.
- You engage in conduct that presents an imminent security or legal risk to QCE Vision, our customers, or third parties.
- We are required to do so by law or by a competent regulatory authority.
Upon termination: (a) your licence to use the Services ends; (b) you remain liable for fees accrued up to the termination date; (c) we will make your data available for export for 30 days, after which it will be deleted in accordance with our Privacy Policy; and (d) the provisions of these Terms that by their nature should survive, including Sections 6, 7, 8, 9, and 11, shall survive.
11. Changes to These Terms
We may update these Terms as the Services, our entities, or applicable law evolve. Where a change is material, we will notify affected account holders by email and in-product notice at least 14 days before the change takes effect. Where a change is not material, we will update the "Last Updated" date and record the change in our governance changelog. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
12. General
- Entire Agreement: These Terms, together with any signed order form or master services agreement, constitute the entire agreement between the parties on their subject matter.
- Assignment: You may not assign these Terms without our written consent. We may assign them to an affiliate or successor without consent.
- Severability: If any provision is held unenforceable, the remainder stays in effect.
- Waiver: A failure to enforce a provision is not a waiver of that provision.
- Force Majeure: Neither party is liable for delays caused by events beyond its reasonable control, provided it notifies the other promptly.
- Notices: Legal notices to QCE Vision must be sent to legal@qcevision.com and, where required, to our registered address in the Johor-Singapore Special Economic Zone.
